Membership Agreement

PLEASE READ THIS CAREFULLY BEFORE PROCEEDING

BY CLICKING ON THE ACCEPTANCE BUTTON WHICH FOLLOWS THIS MEMBERSHIP AGREEMENT (“AGREEMENT”) MARKED “I ACCEPT THE TERMS AND CONDITIONS OF THIS AGREEMENT”, YOU INDICATE ACCEPTANCE OF THIS AGREEMENT AND THE TERMS AND CONDITIONS SET OUT IN THIS AGREEMENT. SUCH ACCEPTANCE IS EITHER ON YOUR OWN BEHALF OR ANY ORGANIZATION WHICH EMPLOYS YOU OR WHICH YOU REPRESENT. WHEREAS Volunteer Ottawa/Bénévoles Ottawa (“VO”) is a registered non-profit Canadian charity incorporated under the Canada Not-for-profit Corporations Act, whose mandate is to build community by supporting the not-for-profit sector through education, fostering collaboration, and promoting volunteerism. AND WHEREAS the Member is an individual or an organization seeking to utilize the services offered by VO. VO and the Member agree as follows:
    1. VO shall:
        1. deliver the Services as detailed in Appendix A;
        1. respect the confidentiality of each organization and volunteer; and
      1. have the right to suspend or cancel a membership should the Member not abide by the terms and conditions of this Agreement.
 
    1. The Member shall:
        1. designate a primary contact person if the Member is not an individual to serve as liaison between VO and as a point of contact for volunteers;
        1. maintain the Member’s profile information and volunteer postings on VO’s website;
        1. adopt the values, guiding principles and organizational standards of the Canadian Code for Volunteer Involvement (https://volunteer.ca/ccvi) 2012-edition;
        1. ensure that volunteers will not displace paid workers;
        1. contact volunteers requesting information in a timely manner;
        1. respect the confidentiality of each volunteer;
        1. abide by the principles of the Ontario Human Rights Code: http://www.ohrc.on.ca/en/ontario-human-rights-code; and
      1. offer a non-discriminatory and inclusive environment.
 
    1. Governing LawThis Agreement shall be governed by and construed in accordance with the laws in force in the Province of Ontario and the federal laws of Canada applicable therein.
 
    1. TermThis Agreement is in effect for one (1) year from the date of acceptance and will be considered automatically renewed upon renewal of membership. The Member acknowledges and agrees that membership fees are non-refundable.
 
    1. AssignmentMember may not assign this Agreement or delegate any of its duties or obligations here under without the prior written consent of VO. This Agreement shall be binding upon and inure to the benefit of the Parties hereto and their respective successors and permitted assigns.
 
    1. Restrictions on UseThe Member agrees not to modify, reverse engineer, adapt or otherwise tamper with VO’s online volunteer matching service (the “Service”) and the content and other services available via VO’s website. The Member agrees that the Service shall not be used in any manner which may infringe any intellectual property rights or in any manner which is unlawful, offensive, threatening, libelous, defamatory, obscene or in violation of this Agreement. The Service shall not be used to upload, post, host, or transmit unsolicited bulk e-mail “Spam”, short message service “SMS” messages, viruses, self-replicating computer programs “Worms” or any code of a destructive or malicious nature. The Member agrees not to reproduce, duplicate, copy, sell, resell or exploit access to the Service, use of the Service, or any portion of the Service, including, but not limited to the HTML, Cascading Style Sheets (“CSS”) or any visual design elements.
 
    1. NO WARRANTY AND LIMITATION OF LIABILITYTHE MEMBER UNDERSTANDS AND AGREES THAT THE SERVICE IS PROVIDED ON AN “AS IS”, “AS AVAILABLE” BASIS, AND VO MAKES NO WARRANTY, EXPRESS, IMPLIED OR STATUTORY, AS TO ANY MATTER WHATSOEVER, WITH RESPECT TO THE SERVICE, ITS MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE. VO’S SOLE LIABILITY TO THE MEMBER IN CONNECTION WITH THE SERVICES PROVIDED HEREIN, WHETHER IN CONTRACT, TORT OR OTHERWISE, WILL NOT EXCEED THE TOTAL AMOUNT OF MEMBERSHIP FEES PAID TO VO BY THE MEMBER UNDER THIS AGREEMENT.
 
  1. Entire AgreementThis Agreement, together with any attachments hereto, constitutes the full and complete understanding between the parties hereto and supersedes all prior understandings, whether written or oral, pertaining to the subject matter hereof and cannot be modified except by a written instrument signed by the parties hereto.
  APPENDIX A – SERVICES VO shall provide the following services to the Member: Full access to the members’ area of the VO website (volunteerottawa.ca). Provide a range of benefits as described on VO’s website (VO reserves the right to change the benefits that apply to VO membership at any time). Provide information and resources to connect volunteers and Members. Provide support through its programs and services Respond to Member enquiries in a timely manner. Ensure that VO’s website content reflects the needs of its membership. Offer professional development opportunities in non-profit management, governance, operations and in volunteer management. Offer networking opportunities among members.
